FIA
THE FRAUD

Rob Fia has been the CEO and Chairman of Therma Bright Inc. for roughly seventeen years. In that time he has announced a cold-sore device that never shipped, a Zika "antiviral" that never released a single result, a COVID test that was "on track" for an FDA authorization it never sought successfully, a $10-million distribution deal that never delivered, Medicare reimbursement codes that never existed, a "game-changing" stroke technology that was written down to zero dollars, and finally — when the buzzwords ran out — an AI product. The audited financial statements tell the whole story: negligible or zero product revenue, every single year, for a decade. And when the device buzzwords ran dry, he changed stages: his second public company, City View Green Holdings (CSE: CVGR), has run the identical template through cannabis and into stablecoins — see §3.

This is not a bad-luck story. It is the same four-step con, repeated six times, documented in the company's own press releases, its own audited financials, and 1,000+ pages of public CMS records. No regulator has stopped it yet. This page exists so the next investor sees the pattern before funding the seventh buzzword.

Every Product Failed. His Pay Never Did.

Before the campaigns, understand who actually gets paid at Rob Fia's companies. Ten years of abandoned products, negligible or zero product revenue, a 99% collapse in Therma Bright’s market value — and through all of it, one line item that never missed a year: the CEO’s. Salaries, option grants, bonus eligibility, and a steady rhythm of “shares-for-debt” settlements in which the money the company owes him is repaid in freshly printed stock — stock that dilutes everyone except him. And when the hype ran hot, he sold into it.

$150K/yr
Rob Fia’s base salary at City View Green for 2022, 2023 and 2024, per the company’s own shareholder circular — paid by a company whose entire commercial output was three cannabis sauces. His employment agreement also makes him eligible for annual bonuses and option grants. Read the circular.
9.3M shares
Issued to Rob Fia personally in 2026 alone: 4,953,828 shares at City View in May (his stake: 9.7% → 15.6%) and 4,349,999 shares at Therma Bright in July (7% → 13.1%) — settling $607,768 the companies owed him. The CEO gets paid in dilution. You do the paying.
12.92M options
Options granted at City View on September 14, 2025, struck at $0.10 — three days before the ArkenYield definitive agreement was signed. Fia’s personal grants that year: 13,000,000 options (12,000,000 on February 12, 2025 and 1,000,000 on July 15, 2025, per his own insider reports). See the option tables.
2.85M more
Options granted to Therma Bright’s directors, officers and consultants in March 2026 — months after Inretio and InStatin were written down to zero in the audited statements, with no press release telling shareholders. Read the grant release.
4.88M options
Exercised by Fia on August 12, 2020 at strikes of $0.05 and $0.10 — as Therma Bright’s CoviSafe™/AcuVid™ COVID-test announcements began building.
3.58M shares
Sold into the public market in 2020 at $0.08–$0.23 — roughly $649,000 — including 1,201,256 shares in July 2020, days after the CoviSafe development deal was announced.
$546K in one day
2,375,000 shares sold on December 11, 2020 at $0.23 — the highest price in his documented disposal record. The same company’s shares would later settle its debts at $0.04–$0.07.
5M shares gifted
Disposed by gift between August 2020 and April 2021 — 1,000,000 reported at $0.175 on August 12, 2020, then 500,000 in February and 3,500,000 in April 2021, as the AcuVid™ “first saliva EUA” campaign peaked. In August 2021 he was granted 600,000 options struck at $0.55.

THE MECHANISM, PLAINLY: at both companies the CEO is repeatedly on the receiving end of the transactions — salary, options, bonus eligibility, and “shares-for-debt” settlements that convert money the company owes him into equity that dilutes everyone else. His bonus clauses have never depended on a product working. In ten years, none ever has. And the selling is not new: in April 2018, months after the TherOZap™ Zika “success” release, he sold 5,513,000 shares at $0.035. Source for all trading figures: Fia’s own insider reports filed on Canada’s SEDI system (sedi.ca) — pull his full history there, by insider name.

A rounding error
Product revenue from every hyped "miracle" device — Intercept CS, TherOZap, AcuVid, Venowave — relative to what was announced. Small sales existed, but the audited financial statements, 2016–2025, show negligible or zero revenue from all of them — against $10M annual minimums, 100,000-unit orders, and a "$1B market opportunity."
~$10M
Raised from investors over the last six years through placements and shares-for-debt. Almost all of it: gone.
$200M → $2M
Market capitalization at the hype-era peak versus roughly today. A 99% collapse in shareholder value.
2×
Public companies running the identical template under one CEO — Therma Bright (TSXV: THRM) and City View Green (CSE: CVGR) — with board member Tim Peterson holding a seat at both.
§1 — The Method

The Con, Step by Step

Strip away the buzzwords — Zika, COVID, reimbursement codes, AI — and every campaign Therma Bright has run since 2016 follows the identical four steps. Once you see the template, you cannot unsee it in a single one of their press releases.

STEP 01

Announce

A "breakthrough": clinical results, a big distributor, a reimbursement code, an FDA pathway. Superlatives, firm deadlines, dollar figures. Always timed to a hot narrative.

→
STEP 02

Pump

The stock moves on the news. And when real interest was thin, near-daily ~100-share trades at the open and close tick the displayed price up anyway — the classic signature of painting-the-tape.

→
STEP 03

Raise

Private placements and shares-for-debt at prices that only the hype made possible. Tens of millions of shares issued across the decade. Dilution is the business model.

→
STEP 04

Silence

The deadline passes. No results. No correction. No update. Not a single material change report telling shareholders the "milestone" died. Then the next buzzword arrives.

RESULT, PER THE AUDITED RECORD 2016–2025: no product commercialized at anything approaching the announced scale. Negligible or zero product revenue. Full impairment of the Inretio and InStatin investments to zero in fiscal 2025 — never disclosed in any press release. Shareholders paid for all of it.

§2 — The Record

Ten Years, Six "Miracle" Products

Each entry pairs what Rob Fia's press releases told investors against what the company's own audited financial statements and public regulatory records show. The gap between the two is the fraud.

2016

Intercept CS™

Cold-sore device — the original template
He told you

"Significant progress" with a large Canadian pharmacy retailer that requested point-of-purchase displays and would put the product in stores, first shipment expected fall 2016. E-commerce channels showed "brisk sales traffic." — Press release, May 18, 2016

The record shows

No shipment, no order fulfillment, no material revenue — ever — in the 2016 and 2017 audited financial statements. Intercept CS then vanished from disclosure while lingering in boilerplate "About" sections for years. A third party later publicly claimed to be sitting on ~$600,000 of Intercept CS inventory. The financials never showed it, sold it, or wrote it down.

2017–2019

TherOZap™

The Zika "antiviral" device that never published a result
He told you

"A leader and early mover in this space" — working prototype in 4–6 weeks, in-vitro testing against Zika and West Nile by end of Q1 2017 at a "world renowned scientific research lab." — Press release, Jan 24, 2017

Then: results "indicate effectiveness in inhibiting Zika virus" at Techna Institute/UHN — Press release, Jan 8, 2018, and by 2019 the company was in "final stages of in vitro testing" with results expected "in the near future." — Press release, Mar 28, 2019

The record shows

In three years of announcements about a global virus panic, not one final test result was ever disclosed. No regulatory clearance. No commercialization. No revenue line. The "near future" arrived, and TherOZap was never meaningfully mentioned again. It, too, survived for years in boilerplate as if it were a real asset.

2021–2022

AcuVid™ / CoviSafe™

The COVID saliva test that was going to be "first" — and sold, per its own audited statements, next to nothing
He told you

"Exceptional" Brazilian clinical results exceeding FDA minimums. EU-CE approval plus a conditional order for 100,000 units. Detection of the Delta variant. A manufacturing partner with capacity of 500,000+ units per month. — Press releases: EU-CE approval + 100,000-unit order (Apr 19) · 500,000+/month manufacturing partner (May 21) · “exceptional” Brazilian results (Jun 17) · Delta variant detection (Jul 8)

"On track to be the first COVID-19 rapid antigen saliva test to receive FDA Emergency Use Authorization" — and in January 2022, the U.S. clinical study was "still underway" with "current results very promising." — Press release, Jul 22, 2021 · Press release, Jan 20, 2022

The record shows

Negligible or zero COVID-test revenue — in every audited financial statement, 2021 through 2025. No inventory build, no order fulfillment, no accounts receivable at even a fraction of the announced scale. No EUA was ever received — and none was ever announced as denied, delayed, or abandoned. The "very promising" U.S. study's final results have never been disclosed anywhere, by anyone, in any form. At the height of a global pandemic with every claimed advantage, the audited statements show they sold next to nothing.

2021–NOW

Venowave®

The $10M "minimum" deal and the reimbursement codes CMS never issued
He told you

An "exclusive U.S. distributor" deal with a $10 Million annual minimum purchase commitment, an initial 5,000-unit order, and a "$1 Billion market opportunity." — Press release, Jun 28, 2021

First 2,500 units shipped, units "sold to customers in the US," partial payment received. Then in 2023: "Secures Medicare and Medicaid Reimbursement" with nine temporary CPT®/HCPCS codes paying $725–$1,050 per pair. Then in 2024: a permanent HCPCS code with a $1,199 "buyout", "110+ units deployed" with "100% reimbursement success," and a new $6M DME Authority commitment for 2025. — “nine temporary codes” (Apr 14, 2023) · permanent code + $1,199 “buyout” (Aug 19, 2024) · “100% reimbursement success” (Dec 5, 2024) · new $6M DME LOI (Dec 18, 2024)

The record shows

Every CMS HCPCS coding-cycle document for 2022–2025 — the complete public record, more than 1,000 pages — contains zero mention of Therma Bright, Venowave, or any temporary code. The "temporary codes" never existed. The market traded for over a year on that fiction. The permanent code the device eventually received (E0683) is rental-only, capped around $819.55 over 13 months — nothing like $725–$1,199 per unit. And the audited financials show negligible or zero device revenue in every single year the "$10 million annual minimum" was supposedly running.

2026 UPDATE — the "$10M a year," five years on: the 2026 "sales momentum" is an initial 100-unit order from Horizon Health (Mar 31), a 100-unit follow-on (May 5), 100 more from Horizon and 50 from Gen-X Med (Jun 23), and 200 units to Gen-X Med (Jan 20). Real orders, and real progress — a few hundred units a year against the 5,000-unit signing order and $10M annual minimum of 2021. That gap is the whole story. The same March release also "signals expansion into the Cosmetic Wellness market": meet the seventh buzzword.
2023–NOW

Inretio / PREVA™ & InStatin

"Game-changing" stroke tech — written down to zero, in silence
He told you

A "game-changing" clot retriever — "the first and only" of its kind — with 80%+ animal trial success, up to $2.5M invested for up to 25% ownership. — Press release, Jan 19, 2023

A GLP study removing "100% of the clot in 100% of the cases," called a "life saving ischemic stroke treatment technology." A new manufacturing facility. Then a "Major Milestone": a third completed human trial with "promising initial results." — GLP study, “100% of the clot” (Jun 7, 2023) · 3rd human trial “milestone” (Aug 27, 2024)

The record shows

The fiscal 2025 audited financial statements record full impairment of both the Inretio and InStatin investments — written down to zero. Total loss. And no press release, material change report, or correction was ever issued disclosing it. The company kept publishing upbeat "milestone" and "exciting progress" language about assets its own auditors had already valued at nothing.

2026 UPDATE — still running: after the write-down to zero, the company announced in February 2026 that Inretio had "successfully completed" a first-in-human cohort and was targeting a 2026 U.S. FDA trial — still hyping an asset its own auditors valued at nothing. InStatin got the same treatment: in December 2025 — months after the fiscal-2025 statements wrote it to zero — the company touted its “significant progress” and COPD expansion plans.
2023–2024

Digital Cough Analyzer

The AI buzzword — when Zika and COVID stopped selling
He told you

An "AI-powered" smartphone cough analyzer. The FDA 513(g) request had been "prepared" — Press release, Nov 29, 2023, the effort "continued", with potential CMS reimbursement codes and a possible chronic-cough drug trial partnership. — Press release, Aug 16, 2024

The record shows

No submission status. No FDA response. No classification. No partnership contract. No revenue. Zero corresponding activity in the audited financials. When the well of pandemic buzzwords ran dry, "AI" served exactly the same function Zika had in 2017: a story to raise money against, with nothing behind it and no obligation ever taken to tell investors how it ended.

§3 — The Other Public Company

Encore: City View Green (CSE: CVGR)

Therma Bright is not the only stage. Rob Fia is CEO & President of a second public company — City View Green Holdings Inc. (CSE: CVGR / OTC: CVGRF) — chaired by the same Tim Peterson who “oversees” Therma Bright. The template transfers without a single modification: pick the hot narrative of the moment, announce big numbers, raise capital, stay vague when nothing arrives. In eight years City View has been a “large-scale” cannabis producer, a cannabis-edibles manufacturer, a pet-treats brand — and is now, per its own releases, a stablecoin yield company. New buzzword. Same author.

2018–2024

City View Green — the cannabis era

From “large-scale cannabis producer” to three hot sauces
He told you

In 2018: “targeting entry into the Canadian Medical and Recreational market in 2018 as a high quality, large-scale cannabis producer.” — Newsfile release, May 2018

Then: the Health Canada processing licence arrives (April 2021) for a self-described “leading consumer packaged goods company” building cannabis-infused edibles; retail stores open through Budd Hutt; Pawsperity™ dog treats launch at Petvalu; the company “prepares for edibles manufacturing.” — Licence, Apr 2021 · Petvalu launch, Apr 2022 · “Prepares,” Oct 2021

The record shows

The entire announced commercial footprint, eight years in: a purchase order to produce two cannabis-infused products (June 2022), and a release celebrating the shipment of three cannabis-infused sauces (October 2022). Then the real business begins: promissory notes, revolving credit lines, warrant-incentive programs, a strategic review, and the same $1,000,000 private placement announced and re-extended again and again.

By April 2024 the company exits retail cannabis. In November 2024 it clears $2.3M of debt with 78,083,779 shares at $0.03. In 2025 the cannabis assets are spun out and the stock is consolidated — twice, in the same month.

2025–NOW

ArkenYield — the stablecoin era

$500M in the headline. $655K on the chain.
He told you

A binding LOI to buy up to 20% of ArkenYield, a “pioneering digital asset yield platform,” for $575,000 — and a refocus from “cannabis issuer” to “investment issuer.” — Newsfile release, Jul 15, 2025

Then the proposed name change to “Stable Capital Holdings Inc.” — Sep 30, 2025, a partnership “to Manage up to $500M for Institutional Depositors” with “capacity for up to $500 million in stablecoin commitments” — Oct 15, 2025, an LOI with a “major digital asset infrastructure provider,” its own stablecoin rating standard, a “Circle Alliance Partnership,” and — October 21, 2026 — a “$50 Million Yield Infrastructure Arrangement.” — Dec 2025 · Feb 2026 · Apr 2026 · Oct 21, 2026

The record shows

Read the release, not the headline. The “$500M” is capacity, not assets — announced by a company that, per its own later filing, never actually acquired the stake: the August 2026 update states the original $575,000 / 20% agreement was “cancelled and terminated,” that “no closing occurred,” and that no shares of ArkenYield, shares of City View, debenture or warrants were ever issued, transferred or delivered. The same update put the platform’s “tangible, operating use case” — a live vault — at just over US$655,000, and revised the structure so City View’s side ends up with 10% of the new entity (the founder and his advisors: 90%) while City View issues the founder 2.5 million more shares and warrants. If under US$400,000 is funded by December 7, 2026, the entire transaction terminates. — City View release, Aug 19, 2026

The October 21, 2026 “$50 million” is a non-binding MOU whose own text concedes the figure “does not constitute committed capital, guaranteed assets under management, or a confirmed deployment amount.” Meanwhile, in May 2026, City View settled $897,106.66 of debt with 12,815,807 shares — with Rob Fia personally receiving 4,953,828 shares for $346,768 the company owed him. — Oct 21, 2026 MOU · May 1, 2026 debt settlement

Check the calendar: the “binding LOI” with “Arkenyield” was announced July 15, 2025. Corporations Canada’s public registry shows ArkenYield Ltd. was incorporated on September 8, 2025 — 55 days later — with one director and one controlling shareholder (more than 75% of the shares): Conner Romanov. See the registry. The amplification had a line item, too: the newsletter that called the “$500 million client” a “game changer” for a $3-million-market-cap company discloses that City View is an advertising client whose management “has pledged 500,000 options” to the writer’s affiliate. Read the disclosure.

CITY VIEW GREEN, 2018–2026: one licence, three sauces, 78 million shares issued at $0.03 to clear $2.3M of debt, two share consolidations in a single month, one industry pivot — and headlines measured in the hundreds of millions. As at Therma Bright, the product was never the product. The share issuance was the product.

§4 — The Receipts

What a Decade of "Breakthroughs" Was Worth

On January 3, 2025, after nine years of Zika cures, COVID firsts, $10-million deals, reimbursement codes, game-changing stroke technology, and AI — Therma Bright settled $113,000 of debt by issuing 2,825,000 shares at four cents each. That price is more than 90% below the levels its own press releases propped up through 2021–2024. The bill for the whole decade was finally delivered, and it was paid in dilution — by the shareholders who believed any of it.

And it never stopped: in July 2026 the company settled $396,840 of debt with 6,613,999 shares at $0.06 — of which 4,349,999 shares went to Rob Fia personally, settling $261,000 the company owed him and lifting his personal stake from 7% to 13.1% of the company. The CEO gets paid in dilution. The shareholders do the paying. Read the release.

His other company runs the same program: in May 2026, City View Green settled $897,106.66 of debt with 12,815,807 shares at $0.07 — 9.6 million of them to directors and officers, with Rob Fia personally receiving 4,953,828 shares for $346,768 the company owed him — lifting his stake from 9.7% to 15.6% of City View. §6 — The Violations

Which Laws Does This Break?

This page is not a legal filing and we are not prosecutors. But the record above maps onto specific rules in both jurisdictions that list this stock. In plain English:

National Instrument 51-102 — Continuous Disclosure Obligations

Ontario / Canadian securities law

A public issuer must disclose material changes, keep its disclosure record accurate, and update the market when forward-looking statements stop being reasonable. Abandoning six flagship initiatives — and writing major investments down to zero — without a single corrective disclosure is the textbook breach.

The fit: every campaign on this page ended in silence: no results, no abandonment disclosure, no impairment announcement, while boilerplate kept citing the dead products. The same obligations bind City View Green Holdings as a CSE reporting issuer — weigh the “up to $500M” and “$50 million” headlines in §3 against them.

The Prohibition on Misleading or Untrue Statements

Ontario securities law

No person or company may informally or formally make a statement to investors that they know is untrue, or that a reasonable person would consider misleading in the circumstances. Announcing Medicare reimbursement codes that CMS never issued, a $10M annual minimum that never delivered a dollar, and regulatory pathways that were never completed or corrected — the record speaks for itself.

The fit: the claims were specific, time-bound, and falsifiable — and each was contradicted by the company's own audited financials and the public CMS record. At City View Green, add a “binding LOI” announced with a counterparty that, per Corporations Canada, would not exist as a corporation for another 55 days.

Section 10(b), Securities Exchange Act of 1934 & Rule 10b-5

U.S. federal securities law

The core U.S. antifraud rule: no fraud, misrepresentation, or material omission in connection with the purchase or sale of a security. It requires scienter (intent or recklessness) and materiality.

Scienter: a repeated, decade-long pattern of announcements directly contradicted by the company's own financial statements. Materiality: each announcement lines up with the share-price support, private placements, and debt settlements that followed it.

Market Manipulation — "Painting the Tape"

Ontario & U.S. securities law (alleged)

Executing trades to create a false appearance of buying interest is prohibited in both jurisdictions. The trading record shows a near-daily pattern of minimal-volume trades at the open and close that consistently ticked the displayed price upward.

Verifiable: Level II order book data, time-and-sales records, and historical trade reports show the pattern; the responsible accounts are identifiable via standard regulatory subpoenas to the TSXV, CIRO, FINRA, and clearing firms.
§7 — The Tape

Some Days, the Only "Buying Interest" Was Five Dollars at a Time

Beyond the press releases, look at the plumbing: a years-long pattern of trades concentrated at the open and close of nearly every session, on both the TSXV and OTCQB.

The mechanics, as alleged

On a near-daily basis, blocks of as few as 100 shares — roughly $5 at prevailing prices — were executed in a manner that consistently ticked the displayed bid price upward by the minimum increment, precisely at the open and close, when the market is most sensitive to printed prices. Small money. Every day. For years.

The result: a persistent false appearance of buying interest and momentum — the painting-the-tape pattern that kept the valuations alive at which the private placements and share-for-debt settlements could keep happening.

This is not an accusation we ask you to take on faith. It is machine-verifiable: Level II data, time-and-sales, and historical trade reports are retained, and the accounts behind them are identifiable through ordinary regulatory subpoenas — if a regulator ever pulls them. You don't have to wait: pull the tape yourself (see Verify It), then send what you find to the tip lines below.

§8 — The Enablers

The Board Knew. They Were Told. They Did Nothing.

A decade of this does not happen in a governance vacuum. Shareholders put the board on explicit written notice — by email, phone, and text, repeatedly, over years — including direct warnings that the CEO's disclosures constituted securities fraud. The response: none. No investigation. No corrective disclosure. No engagement. The scheme continued uninterrupted.

17 yrs

One man, two chairs

Rob Fia has held the CEO and Chairman roles for roughly seventeen years — dominant, unbroken control over strategy, disclosure, and every capital raise across the entire period of the pattern.

0

Internal investigations

Despite explicit, multi-channel, repeated notice of alleged fraud by shareholders: no internal investigation, no corrective disclosure, no engagement, no discipline or removal of the CEO. Directors owe fiduciary duties under the Canada Business Corporations Act. That inaction is what makes the board complicit.

1

Auditor, terminated mid-stream

Long-standing auditor HS & Partners LLP was terminated effective February 22, 2023 and replaced by Zeifmans LLP — mid-period, with board and audit committee approval, and with no apparent improvement in disclosure quality or impairment transparency afterward.

2

Directors, minimal oversight

A small board: Fia himself, a long-tenured independent director (~8 years), and one 2025 appointment replacing a same-day resignation. Minimal independent oversight while the pattern ran for a decade.

The current group at THRM and CVGR

Rob Fia does not run this alone. These are the directors and advisors who hold the seats today at Therma Bright and City View Green — and the silence that comes with them. The same CFO, Eric Myung, keeps the books at both companies.

TIM PETERSON INDEPENDENT DIRECTOR — ~8 YEARS On the board through the AcuVid, Venowave, and Inretio campaigns — and through years of explicit shareholder warnings that the company’s disclosures constituted fraud. Response: none. He is also Chairman of City View Green — the second Fia company documented on this page. SOURCE: THERMABRIGHT.COM — MANAGEMENT & DIRECTORS →

Eric Myung, Chief Financial Officer of Therma Bright Inc. and City View Green Holdings Inc.
ERIC MYUNG CFO — THERMA BRIGHT INC. & CITY VIEW GREEN HOLDINGS INC. One Chief Financial Officer for both companies. At Therma Bright: through the Venowave, AcuVid, and Inretio campaigns and the fiscal-2025 write-downs to zero — none of it disclosed in a press release. At City View Green (since September 2019): through the 78-million-share debt settlement at $0.03, two share consolidations in one month, and the pivot to stablecoins. Two tickers. One CFO. Pull the audited financial statements

Look up Therma Bright Inc. filings on SEDAR+ and read the revenue line for any year from 2016 to 2025. Then look for the Inretio/InStatin impairment in fiscal 2025. Then find the press release announcing any of it. It isn't there.

02

Search the CMS record yourself

The CMS HCPCS coding-cycle determinations are public. Search the 2022–2025 final coding documents for "Therma Bright" or "Venowave." Zero hits. That's what a fabricated reimbursement code looks like: total silence in the only registry that matters.

Check the tape

THRM on the TSXV; TBRIF on the OTCQB. Look at the daily open/close prints and the volume behind them across the years. Ask what kind of organic market sustains a valuation for years on five-dollar trades at the bell.

Read the press releases against the financials

Pick any announcement on this page. Note the date, the promise, and the deadline. Then find the follow-up: the result, the approval, the revenue. It never comes. That absence — repeated six times over ten years — is the entire case.

Pull City View Green’s record

City View Green Holdings files on SEDAR+ under CSE: CVGR. Start with the October 2025 release headlined “up to $500M,” then the August 2026 update reporting a live vault of about US$655,000, then ask what “capacity” means. The company’s full press-release archive is public on Newsfile.
